These Terms and Conditions (the Terms) govern your access to and use of the WiseMatcher website, applications, and services (together, the Service). The Service is operated by Alignya Solutions LLP (WiseMatcher, we, us, or our). Please read these Terms carefully. In these Terms, you and your refer to the business or individual that creates an account or otherwise uses the Service.

1. Acceptance of these Terms

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

If you use the Service on behalf of a company, agency, or other organization, you represent that you have authority to bind that organization to these Terms, and you and your then refer to that organization. The Service is intended for business and professional use, not for personal, family, or household purposes.

2. Description of the Service

WiseMatcher is an automated job-matching service for recruiters and staffing professionals. In general terms, the Service lets you do the following:

We may add, change, or remove features of the Service from time to time. The specific limits available to you (for example, the number of matchers or candidate resumes) depend on your subscription plan.

3. Eligibility and Accounts

To use the Service you must be at least 18 years old and able to form a binding contract. You agree to provide accurate, current, and complete information when you register and to keep that information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree not to share your credentials and to notify us promptly at hi@wisematcher.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss arising from your failure to keep your credentials secure.

4. Subscriptions, Plans, and Billing

The Service is offered through paid subscription plans billed on a monthly or annual basis. Plan features, limits, and prices are described at the time of purchase. Payments are processed by our third-party payment provider, Stripe, and your use of Stripe is subject to Stripe's own terms and policies. You authorize us and Stripe to charge your selected payment method for the applicable fees, plus any taxes.

4.1 Automatic renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual, as applicable) at the then-current rate, unless you cancel before the renewal date. By subscribing, you authorize these recurring charges until you cancel.

4.2 Cancellation

You may cancel your subscription at any time from your account billing settings. When you cancel, your subscription is set to end at the close of the current paid period: your access and features continue until that date, and the subscription is not renewed afterward. Cancellation does not, by itself, trigger a refund of fees already paid.

4.3 Refunds

Except where a refund is required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or features not used. We may change our prices or plan features at any time; changes to recurring subscription pricing will take effect at your next renewal, and your continued use after a price change constitutes acceptance of the new price.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not, and will not permit any third party to:

6. Customer Responsibilities for Candidate Data

You are solely responsible for the candidate resumes, CVs, and other personal information you upload to or process through the Service (Candidate Data). You represent and warrant that, for all Candidate Data you provide:

With respect to Candidate Data, you act as the party that determines the purposes of processing, and we process such data on your behalf to provide the Service. You agree to indemnify us for claims arising from Candidate Data you provide or from your failure to obtain the rights, permissions, and consents described above, as set out in the Indemnification section below.

7. Third-Party Content and Job Boards

The Service surfaces job listings and related information drawn from publicly available third-party sources, such as job boards. This third-party content is provided on an as available basis. We do not own, control, author, endorse, or guarantee the accuracy, completeness, legality, availability, or timeliness of any third-party listing, and the inclusion of a listing in your results is not a recommendation. Third-party sources may change, restrict, or remove their content at any time, which may affect the results the Service can produce. Your dealings with any third party, including any employer or job poster, are solely between you and that third party.

8. No Guarantee of Results

The Service helps surface and rank potentially relevant listings, but the results depend on third-party data and on automated, AI-based matching, which is inherently probabilistic and may produce incomplete, inaccurate, or irrelevant results. We do not guarantee any particular matches, the suitability of any listing for any candidate, any placement, hire, interview, response, or other outcome. You are responsible for independently reviewing all results and for any decisions you make based on them. The Service is a sourcing and matching tool and does not provide legal, recruiting, or employment advice.

9. Intellectual Property; License to Use the Service

The Service, including its software, design, text, graphics, and other content (excluding your Candidate Data and other content you provide), and all related intellectual property rights, are owned by WiseMatcher and its licensors and are protected by applicable laws. The WiseMatcher name and logo are our trademarks; you may not use them without our prior written permission.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your subscription. All rights not expressly granted to you are reserved by us.

10. Your Content and Feedback

You retain ownership of the Candidate Data and other content you provide to the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display that content solely as necessary to provide, maintain, secure, and improve the Service and to comply with applicable law. We will handle personal information in accordance with our Privacy Policy.

If you send us suggestions, ideas, or other feedback about the Service (Feedback), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback for any purpose, without any obligation or compensation to you.

11. Disclaimers

The Service is provided on an AS IS and AS AVAILABLE basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any results obtained through the Service will be accurate, complete, or meet your expectations. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will WiseMatcher or its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or related to the Service or these Terms, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or related to the Service or these Terms will not exceed the total amount you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the liability. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless WiseMatcher and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Candidate Data or other content you provide, including any claim that it was provided without the necessary rights, permissions, or consents, or that it infringes or violates a third party's rights; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

14. Suspension and Termination

You may stop using the Service and cancel your subscription at any time as described in Section 4. We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe you have violated these Terms, if your payment fails, if required by law, or to protect the Service, our users, or third parties. We may also discontinue the Service in whole or in part.

Upon termination, your right to use the Service ends. We may delete your account and associated data in the ordinary course, subject to applicable law and our Privacy Policy. Provisions that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution, will survive.

15. Changes to the Service and to these Terms

We may modify the Service and these Terms from time to time. If we make material changes to these Terms, we will provide reasonable notice, for example by posting the updated Terms with a new effective date or by notifying you through the Service or by email. Changes take effect on the date stated in the notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and cancel your subscription.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-laws principles.

16.1 Informal resolution

Before starting any formal proceeding, you agree to first contact us at hi@wisematcher.com and to work with us in good faith to resolve the dispute informally. Most concerns can be resolved this way. If we are unable to resolve a dispute within sixty (60) days of your notice, either party may pursue the dispute as described below.

16.2 Binding arbitration and class-action waiver

To the extent permitted by applicable law, any dispute that cannot be resolved informally will be settled by final and binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small-claims court where eligible. The arbitration will be seated in British Columbia, Canada, and conducted in English. You and we each waive any right to participate in a class, collective, or representative action, and disputes will be resolved only on an individual basis. If this class-action waiver or the agreement to arbitrate is found unenforceable as to a particular claim, that claim may proceed in the courts located in British Columbia, Canada, to which both parties consent to personal jurisdiction and venue. Nothing in this section limits either party's right to seek injunctive or equitable relief to protect its intellectual property or confidential information.
